The State Oil Fund of the Republic of Azerbaijan (Fund) is a sovereign wealth fund established in 1999 to manage and safeguard Azerbaijan's oil and gas revenues for the benefit of present and future generations. The Fund plays a significant role in preserving national wealth, ensuring intergenerational equity, and promoting sustainable economic development.

The Fund manages an investment portfolio that includes stocks, fixed-income securities, real estate, and other financial instruments. The Fund's investments are managed with a strategic approach aimed at ensuring long-term financial sustainability and contributing to the country's economic stability.

By applying for the position of Lead investment legal counsel in the Investment Operations Department, you will have the opportunity to contribute to the organization's investment strategy and legal support. The responsibilities include the legal due diligence of investment proposals, review of documents, and providing various legal services, which support the Fund's mission to sustainably manage Azerbaijan's sovereign wealth.

What will you do?:

This role will involve providing expert legal guidance across a wide range of investment-related matters, including but not limited to the following responsibilities:

• Investment document review: Reviewing and advising on key investment documents such as Limited Partnership agreements, Joint Venture agreements, subscription documents, side letters, ISDA and derivatives related documentation, MFNs, etc.;
• Legal due diligence: assisting with the legal due diligence for new investments, coordinating and reviewing the work of external counsel;
• Document drafting: Drafting and negotiating investment-related documentation, as well as reviewing and revising agreements, corporate documents of SOFAZ’s subsidiaries, NDAs, etc.;
• Addressing internal requests: Providing legal support and guidance to the investment team on a wide range of legal and regulatory matters. Responding to legal inquiries and requests from other structural units within SOFAZ concerning investment operations;
• Cross-functional collaboration: Working closely with other structural units within SOFAZ to develop, implement, and maintain policies and procedures related to investment operations;
• Legal resources management: Developing and maintaining legal resources, templates and documentation.

What will you need?:

• Bachelor’s degree in Law is a must. Master’s degree in Law with focus on commercial, investment, finance or corporate law is preferable;
• 2-5 years of legal professional experience. Experience in a similar function, preferably in the investment business;
• Excellent written and oral communication skills in English and Azerbaijani;
